# Terms of Service

These terms govern your use of Tarka’s platform: the website at tarkahq.com, the console, the API at tarka.rest, and every product served through them. By creating an account or using the API you agree to them. If you use Tarka on behalf of a company, you confirm you can bind it, and “you” means the company. A signed agreement with Tarka takes precedence over these terms where the two differ.

## 1. Parties

Your contract is with **TarkaHQ, Inc.**, a Delaware corporation (“Tarka”), unless you are in Nepal, in which case it is with its wholly owned subsidiary **Tarka Pvt. Ltd.**, Kathmandu. Your invoices name the entity. Tarka may assign the contract between the two with notice. Contact details for both are in the [imprint](https://tarkahq.com/imprint/).

## 2. Accounts and organizations

You need a verified email address to create an account, and you must be at least 16. Every resource belongs to an organization; its owners control members, API keys, spending limits and data, and are responsible for what anyone with access to the organization does with it. Keep your API keys secret: anything done with a key is treated as done by the organization that owns it, until the key is revoked. Some products are available only after a request is approved in the console; Tarka may decline a request where capacity, security or misuse risk warrant it.

## 3. The service

Tarka provides model inference, hosted agents, batch jobs, sandboxes, object storage and hosted Git as described in the [documentation](https://tarkahq.com/docs/), and may add, change or retire features. A retirement of a product, model alias or API version that breaks existing use gets at least 30 days’ notice by email, except where a security or legal issue, or a partner withdrawing a model it serves, leaves less time. Models served by partners and open-weight models are provided under their own licenses, which apply to your use of their outputs.

## 4. Acceptable use

You may use Tarka for any lawful purpose, including building products that your own customers use, subject to the following. You may not:

- break the law, infringe anyone’s rights, or process data you have no right to process;
- generate or distribute child sexual abuse material, or content that incites violence or facilitates serious harm to people;
- send spam or unsolicited bulk messages, run phishing, credential stuffing, malware or denial-of-service infrastructure, or attack any system, including Tarka’s;
- mine cryptocurrency, or run workloads designed to evade metering, quotas or fair-use limits;
- resell raw Tarka capacity as a competing infrastructure service without a written agreement. Embedding Tarka in your own product or offering it to your clients as part of your work is fine and needs no permission;
- use Tarka to build a dataset for training a model that competes with a partner-served model where that partner’s license forbids it;
- misrepresent an agent as a person to someone who asks, or deploy an agent on a messaging channel in breach of that channel’s rules.

Where your use of Tarka is subject to export controls or sanctions, you are responsible for complying with them, and Tarka does not serve persons or regions it is prohibited from serving.

## 5. Your content and your customers

As between you and Tarka, what you send to Tarka and what the models produce for you is yours, and Tarka claims no rights in it beyond those needed to provide the service. The [privacy policy](https://tarkahq.com/privacy/) and the [data handling](https://tarkahq.com/data-handling/) page describe what Tarka keeps; in short, models Tarka serves retain nothing unless the alias says otherwise, and anything your organization chooses to capture stays in your own storage. If your product sends your customers’ data through Tarka, you are responsible for the notices, consents and lawful basis that requires, including telling them when you enable capture. A Data Processing Addendum is available on request.

## 6. Fees and credit

Prices are listed on the [pricing page](https://tarkahq.com/pricing/) and in the pricing catalog served by the API, in your organization’s billing currency. Usage is metered per request, per second or per stored unit as each product’s documentation describes, and charged against prepaid credit; the console shows usage and balance. Tarka may change prices with 30 days’ notice by email; a price change applies to usage after the effective date, never to credit already consumed. When credit runs out, paid writes and new work stop, hosts pause and stored data becomes read-only until you top up; nothing is deleted and you incur no debt. Prepaid credit is non-refundable except where the law requires otherwise or Tarka has failed to provide the service. Taxes are added where Tarka must collect them.

## 7. Availability and support

Tarka aims for continuous availability and publishes its status at [status.tarkahq.com](https://status.tarkahq.com/status/platform), but these terms carry no uptime commitment and no service credits; those are available in a signed agreement. Support is through the documentation, Discord and email. Scheduled maintenance that affects availability is announced in advance where practical.

## 8. Suspension and termination

Tarka may suspend an organization, a key or a workload immediately where necessary to stop a breach of §4, a security threat, a legal demand or unexpected risk to the platform or other customers, and will tell you why and how to resolve it unless the law prevents that. Either side may end the contract at any time; you do so by closing your organization in the console or by email. On closure, access ends, stored data is deleted within 30 days as the privacy policy describes, and any remaining credit is refunded only where §6 requires it.

## 9. Intellectual property

Tarka and its licensors own the platform, its software, documentation and brand. Open-source components keep their own licenses. You may describe your use of Tarka and show its name as a provider in your own product; you may not use Tarka’s brand to imply endorsement without permission. Feedback you give us may be used without obligation.

## 10. Warranties and liability

The service is provided as is and as available. Models produce output that can be wrong, biased or unsafe, and you are responsible for how you use it and for any decision made on it. To the extent the law allows, Tarka excludes implied warranties and is not liable for indirect or consequential loss, loss of profit, data or business, and its total liability to you for everything arising from these terms in any twelve months is limited to the fees you paid Tarka in those twelve months. Nothing limits liability for intent, gross negligence, death or personal injury, or anything that cannot be limited by law. You indemnify Tarka against claims arising from your content, your customers or your breach of §4.

## 11. Governing law

For contracts with TarkaHQ, Inc., the law of the State of Delaware applies, without regard to its conflict-of-laws rules, and the state and federal courts in Delaware have exclusive jurisdiction, without affecting protections that the law of your own country gives you as a consumer and that cannot be waived. For contracts with Tarka Pvt. Ltd., the law of Nepal applies and the courts of Kathmandu have jurisdiction. The parties will try to settle any dispute by discussion first.

## 12. Changes to these terms

Tarka may update these terms. Material changes are emailed to active customers at least 30 days before they take effect; continuing to use the service after that date is acceptance. The current version is always at tarkahq.com/terms.
